 Terms and Conditions of Service for ecuus LLC

1. Acceptance of Terms

By accessing or using the services provided by ecuus LLC ("the Company," "we," "us," or "our"), including but not limited to our website, software, applications, and any products or services offered (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the terms, then you do not have permission to access the Service.

2. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

A. Eligibility

The Service, including its technology, source code, data, all content (excluding User Content, as defined below), features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ecuus LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

B. Trademarks

The ecuus LLC name, the ecuus LLC logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ecuus LLC or its affiliates or licensors. You must not use such marks without the prior written permission of ecuus LLC. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

C. Limited License Grant

Subject to your compliance with these Terms, ecuus LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal, personal, non-commercial use.

D. Restrictions

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally and ordinarily permitted through the Service's intended functionality.

8. Limitation of Liability and Indemnification 

A. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. ecuus LLC makes no warranties of any kind, express or implied, as to the operation of the Service or the information, content, or materials included therein. To the fullest extent permissible by applicable law, ecuus LLC disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ecuus LLC does not warrant that the Service will be uninterrupted, error-free, or secure.

B. Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, IN NO EVENT SHALL ECUUS LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE.

IN ALL CASES, REGARDLESS OF THE LEGAL THEORY (INCLUDING BREACH OF CONTRACT, TORT, OR WARRANTY), THE TOTAL AGGREGATE LIABILITY OF ECUUS LLC TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL BE LIMITED TO THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU HAVE ACTUALLY PAID TO ECUUS LLC FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

C. Indemnification

You agree to defend, indemnify, and hold harmless ecuus LLC and its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

* Your use of and access to the Service, including any data or content transmitted or received by you.

* Your violation of any term of these Terms.

* Your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights.

* Your violation of any applicable law, rule, or regulation.

5. User Content and Conduct

A. User Content

If the Service allows you to post content (text, graphics, photos, etc.), you are solely responsible for the content you post and its legality, reliability, and appropriateness. By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, modify, reproduce, and distribute that content on and through the Service.

B. Prohibited Conduct

You agree not to use the Service:

* In any way that violates any applicable national or international law or regulation.

* For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.

* To transmit, or procure the sending of, any advertising or promotional material without our prior written consent.

* To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.

6. Purchases and Payment

If you purchase any products or services made available through the Service ("Purchase"):

* You represent and warrant that you have the legal right to use the payment method(s) provided.

* We use third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

8. Limitation of Liability

In no event shall ecuus LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Wyoming,  United States of America, without regard to its conflict of law provisions.

The Service, including its technology, source code, data, all content (excluding User Content, as defined below), features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ecuus LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The ecuus LLC name, the ecuus LLC logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ecuus LLC or its affiliates or licensors.
